About the Lawsuit
Hi-Crush and certain of its senior executives are charged with issuing a materially false and misleading Registration Statement in connection with the Company's August 2012 IPO, in violation of federal securities laws.
Specifically, the complaint alleges that, on November 13, 2012, Hi-Crush was forced to disclose that Baker Hughes had unilaterally repudiated a significant supply contract, stating Hi-Crush was in breach. On this belated disclosure, Hi-Crush's stock price fell $5.00 per share, or 25%, on extremely high trading volume.
